1. Agreement to Terms

By accessing or using IQValidate's platform and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Services. These Terms apply to all users, including organizations and their authorized representatives.

2. Description of Services

IQValidate provides a cloud-based platform for IT asset disposition and data sanitization, including but not limited to:

• Disk sanitization management and verification
• Certificate of destruction generation
• Asset tracking and inventory management
• Compliance reporting and audit trails
• Desktop agent software for sanitization operations
• Chain of custody documentation

3. Account Registration

To use our Services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring all users under your organization comply with these Terms

4. Subscription and Billing

4.1 Pricing

Services are offered under various subscription plans with different features and usage limits. Current pricing is available on our website. We reserve the right to modify pricing with 30 days' notice.

4.2 Payment

Payment is processed through Stripe. You authorize us to charge your payment method for subscription fees and any applicable overage charges. Subscriptions automatically renew unless cancelled before the renewal date.

4.3 Refunds

Subscription fees are generally non-refundable. However, we may provide refunds at our discretion on a case-by-case basis.

5. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Services
• Interfere with or disrupt the Services or servers
• Reverse engineer, decompile, or disassemble any part of the Services
• Share account credentials with unauthorized parties
• Use the Services to process data you are not authorized to handle
• Falsify certificates or compliance documentation

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain ownership of all data you submit to the platform. You grant us a limited license to process your data solely to provide the Services.

You represent that you have all necessary rights and authorizations to submit data to our platform and that such use does not violate any applicable laws or third-party rights.

7. Compliance Disclaimer

While IQValidate is designed to support compliance with standards such as NIST 800-88, R2, and NAID requirements, certification and compliance are the responsibility of your organization. Our platform provides tools and documentation to assist with compliance, but we do not guarantee certification outcomes.

8. Intellectual Property

The Services, including all software, content, trademarks, and documentation, are owned by IQValidate or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services during your subscription period.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUDITWIPE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless IQValidate and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination will remain in effect.

12. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Clarke County, Virginia.
